1. Contractual Relationship The agreement covers the use of the websites madrid-nights.com and madridnights.com which are trading names of Peninsular Holding Company Int SL and in that using these sites, whether directly or through third parties you agree to be bound by the following obligations:
In making a booking (which includes an enquiry), you agree that these terms and conditions apply. "You" means the person who has completed the booking and each and every member of the group on whose behalf that person has booked with us including as when booking through third party agents.
• You accept financial responsibility for all bookings in your name or account. • You must make sure that all your information is true and accurate at all times. • You must not use this site for an improper purpose, including but not limited to making speculative, false or fraudulent bookings. • You must behave, at all times, in a safe and courteous manner and compensate us or our providers for any damage caused by you during the course of an activity or event. • The transmission of threatening, defamatory, pornographic, political or racist material or any material that is unlawful is expressly prohibited. • The site and any content may not be modified, copied, transmitted, distributed, sold, displayed, licensed, or reproduced in any way by you unless with specific authorisation.
2. Agency A – www.madrid-nights.com acts as agent for third party service providers (the “providers”), such as a bus company or a restaurant. What this means is that the contract for the service is between you and the provider and unless expressly stated otherwise, we have no contractual liability to you in respect of that service as all rights and remedies are against the providers. This may mean that there are additional terms and conditions governing the contract as each provider will have terms and conditions relating to that service. Nothing in these terms and conditions is designed to give any other person any rights or remedies.. All services sold through Madrid-nights.com are not an offer by Madrid-nights.com to sell any service, but an invitation to you to make an offer to our providers. We are free to accept that offer on behalf of the providers or to reject it. If your booking is accepted, we will send you an e-mail confirming the contract upon receipt of payment in accordance with the payment conditions in Clause 4 (Bookings).
B - Where bookings are made through third party agents the providers of madrid-nights.com are to be considered exclusive and no representation may be made directly for any purposes.
3. Booking details Madrid-nights.com com may pass your booking details to the relevant providers. The making of a booking by you will constitute consent to us passing on such personal information. You undertake to us that the details you give to us while using the site are correct and that there are sufficient funds to cover the cost of the booking. If there are any changes to the personal details supplied to us by you, it is your responsibility to notify madrid-nights.com by contacting us promptly as detailed in Clause 4 (Variations) below.
4. Bookings Once you have made a booking on the site, we will contact the providers to pass on the details and to obtain confirmation that they are able to fulfil your booking. In the event that they are unable to fulfil your booking, we will notify you and suggest an alternative provider that can provide a similar service. At all times, we will endeavour to contact you within 48 hours of you making your booking.
A - Deposit and Payment Conditions A deposit of 20% of the total booking value is payable when you complete your booking on-line. The balance (80%) of the total booking value is payable no later than 4 weeks before the event is scheduled to take place unless otherwise specified. On receipt of final balance the confirmation itinerary is sent detailing all activities and matters. If final balance payment is not received within 4 weeks or as otherwise specified the booking is considered to be cancelled.
B - Variations Once a booking has been completed and processed, variations such as additions or deletions to your group, changes to the time and date, will only be permitted at the discretion of the provider and/or Madrid-nights.com. Where variations are permitted, you must contact Madrid-nights.com in writing of such a request as soon as possible and in any event at least 10 days before the event as detailed in your booking confirmation. We retain the right to make alterations or variations to bookings that provide a like for like alternative in the event that this is required to ensure the booking conditions are complied with.
C - Packages Packages require a minimum of 1 night accommodation ( Full board in or out hotel), 1 activity per day of booking up to maximum of 3 days.Payments must be within the agreed payment period and conditions. Failure to comply with the payment conditions requires the package to be cancelled without prejudice.Package conditions require the package to be paid in full within the payment period or be forfeited.
5. Payment conditions Please note that bookings are made subject to availability, what this means is that we will pass your details onto our providers and we will subsequently contact you by email to confirm the booking. Please note that no contract is formed until we have contacted you and confirmed the booking upon receipt of payment of the deposit. Package conditions including (without limitation) the date and time, the venue, the price, payment terms and information about variations and cancellations are confirmed in writing. Prices quoted are on a per person basis including VAT ( IVA) unless stated otherwise, as in the case of prices quoted in Tenerife, Gibraltar or otherwise. Payment shall be by credit card or bank transfer to the account number specified in your confirmation.
6. Refund policy If you wish to cancel your booking, please contact us at info@madrid-nights.com as soon as possible and in at least 10 days before the event as detailed in your booking confirmation. Depending on the date of cancellation, the following cancellation charges will apply:
More than 10 days before the event is scheduled to take place 40% of the total cost of the event Less than 10 days before the event is scheduled to take place 100% of the total cost of the event
We try where possible to refund for services which have been booked and monies paid to providers, however this is not always possible as for example the case of event ticketing and in this case the client will receive only monies recovered.
Goodwill refund offers must be agreed within 30 days of offer with acceptance and signed refund agreement received by said date or be forfeited.

a- Partial Cancellations In the event of cancellation of some members of the group only, then the cancellation charges outlined above apply pro rata but we may become entitled to cancel the event, and the group discounts may no longer apply. This may necessitate a further payment by you to pay the difference between the discounted price and the revised price.
7. Force Majeure Force Majeure includes war, riot, civil unrest, strike, industrial dispute, terrorist activity, natural or industrial disaster, fire, adverse weather conditions, operational decisions of air carriers such as changes of schedule or any unforeseeable or unavoidable event beyond Madrid-nights.com's control.
Some of the activities are dependent on weather conditions to ensure the safety of all participants. Where any activity has to be cancelled due to adverse weather, the event will still take place notwithstanding this cancellation. We will do our best to ensure that you are advised in advance and upon request, we will try to reschedule the activity for another time or date if possible. We are not obliged to give any refund if an event is cancelled because of adverse weather conditions or a Force Majeure event.
8. Insurance It is your responsibility to ensure that you are fully and adequately covered.
9. Health, safety and fitness The activities may require a good level of fitness, strength and endurance. It is your responsibility to ensure that you are sufficiently fit and healthy to participate in the action. It is not recommended for those with any disability, illness or infirmity (although there are disabled facilities provided and everyone is welcome to watch the action). Bulls and horses, are by their nature, dangerous and unpredictable animals. If you choose to participate in these activities, you assume the risks involved and we exclude all liability for any damage or injury caused and will not be responsible unless it is the direct result of our negligent act or omission.
10 . No representation The information, software, products, and services published on this site may include inaccuracies or typographical errors. Changes are periodically made to the site. madrid-nights.com.com makes no representations about the suitability of the information, software, products and services contained on this site for any purpose Madrid-nights.com shall use reasonable care and skill in carrying out the services contained in this site.

11. No responsibility Madrid-nights.com and its respective providers hereby disclaim any and all liability, all warranties, terms and conditions with regard to this information and the services, including all implied warranties, and conditions, of quality, fitness for a particular purpose, title, and non-infringement. Madrid-nights.com is not responsible for inaccurate or misleading service descriptions. The information is given in good faith and is consistent with the information supplied by the provider to Madrid-nights.com. In no event shall madrid-nights.com and/or its providers be liable for any indirect, incidental, punitive, special, or consequential damages arising out of or in any way connected with the use of this site or for failure to complete a booking, or for any information and services obtained through this site, whether based on contract, tort, strict liability or otherwise, even if Madrid-nights.com or any of its providers have been advised of the possibility of damages. Except in relation to liability for death or personal injury for which no limit applies. madrid-nights.com and/or its respective providers shall only be liable for direct loss you suffer arising out of the use of this site (i) to the extent that we have caused you personal injury, provided that we will not be liable for any loss except to the extent required by law; and (ii) whether based on contract, tort, strict liability or otherwise, up to a maximum of the value of the booking under which the claim arises. Our site may contain links to other third party websites over which madrid-nights.com has no control.madrid-nights.com assumes no responsibility in relation to the accuracy, completeness or quality of the information contained on those websites. Such links are provided for your reference only.
12. Copyright The copyright and the propriety rights on the site and all content are owned by madrid-nights.com and in this respect Madrid-nights.com reserves all rights. Images on this site are incorporated for viewing purposes only and may not be saved or downloaded in any format unless authorised.
13. Updating of terms and conditions Madrid-nights.com reserves the right to vary or update these terms and conditions. Madrid-nights.com will notify you of any changes promptly where they affect your booking. Please note that you will be unable to make a booking on-line unless you have confirmed that you have read and understood these terms and conditions.
14. Severability If any part of this agreement is determined to be invalid or unenforceable pursuant to applicable law including, without limitation, the warranty disclaimers and liability limitations set out above, then the invalid or unenforceable provision will be deemed to be replaced by a valid, enforceable provision that most closely matches the intent of the original provision and the remainder of the agreement shall continue in effect.
15. Entire Agreement This agreement constitutes the entire agreement between the customer and madrid-nights.com with respect to this site and it supersedes all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between the customer and madrid-nights.com with respect to this site. Any rights not expressly granted herein are reserved.
16. Governing law This agreement is between you and Madrid-nights.com is governed by the laws of Spain.
